What Is Asset Protection?

Asset protection refers to the legal structuring of your assets — how they are titled, held, and organized — in ways that may reduce their exposure to future creditor claims, lawsuits, and liabilities. It is not about hiding assets or evading legitimate debts. It is about using lawfully recognized legal instruments and entity structures to establish clear boundaries between your personal wealth and your professional or business risks.

The foundation of most asset protection planning is structural separation: placing assets into legal entities, trusts, or ownership arrangements that create distinct legal boundaries. Courts and creditors must respect the legal lines drawn by properly formed and maintained entities. When those lines are not established — when personal and business finances are commingled, when real property is titled incorrectly, or when protective instruments have never been created — exposure increases significantly.

Common asset protection tools include LLCs and corporations to separate business liability from personal assets, irrevocable trusts to remove assets from your personal estate, land trusts for real estate privacy and protection, and specific property titling arrangements such as tenancy by the entirety available to married couples in many states.

The Juris Institute prepares the legal documents that implement these strategies. We do not provide legal advice on which strategy is right for your situation — that determination is yours to make, ideally in consultation with your own legal and financial professionals. What we do is prepare the instruments you direct us to prepare, with the precision and expertise that 25+ years of legal experience produces.

Why Timing Matters

Asset protection structures must generally be established before a legal threat arises. Courts scrutinize transfers and restructuring done after a creditor claim exists as potential fraudulent conveyance under the Uniform Voidable Transactions Act (adopted in most states).

The time to create protective structures is when there is no immediate threat — not after a lawsuit is filed or a creditor demand arrives. Most asset protection planning is proactive, not reactive.

This is not legal advice. It is educational information about how asset protection planning is generally understood to work. Consult qualified legal and financial professionals about your specific situation before taking any action.

Document Preparation vs. Legal Advice

We prepare the instruments. We do not tell you which instruments to choose. The selection of an LLC vs. a trust, a revocable vs. irrevocable structure, or a state-specific arrangement requires legal and financial analysis of your particular circumstances — that analysis is outside our scope.

Once you have decided what documents you need, we prepare them to a standard that reflects 25+ years of legal practice experience. That is our service. That is where we excel.

Strategies We Can Help You Document

01

LLC Formation Documents

A properly formed and maintained LLC is one of the most widely used tools for separating business liability from personal assets. The LLC's operating agreement defines ownership, management, and operating structure — and courts look to this document when evaluating whether the entity deserves separate treatment.

02

Irrevocable Trust Documents

An irrevocable trust removes assets from your personal estate. Because you no longer legally own the assets transferred to the trust, those assets are generally outside the reach of your future creditors — though timing, proper transfer, and trust terms are critical factors. These are among the most powerful asset protection instruments available.

Revocable Living Trust Documents

A revocable living trust avoids probate, maintains your privacy, and allows seamless transfer of assets at death. While a revocable trust does not shield assets from creditors during your lifetime (since you retain control), it is a foundational estate planning and organizational tool that pairs well with other protective structures.

04

Land Trust Agreements

A land trust holds title to real property with a trustee, while the beneficial interest belongs to the beneficiary (you). This structure provides privacy — public records show the trust, not your name — and can facilitate easier transfer of real estate interests. Land trusts are recognized in a number of states and provide a layer of organizational protection for real estate portfolios.

Property Transfer Instruments

How real property is titled directly affects who can reach it in a legal claim. Transferring property to an LLC, a trust, or between spouses may require properly executed deeds. We prepare all types of real property transfer instruments based on the instructions you provide and the applicable requirements of your state.

06

Tenancy by the Entirety Documents

In states that recognize it, tenancy by the entirety provides married couples with strong protection: a creditor of one spouse generally cannot reach property held in this form of ownership. Proper titling documentation is essential to establishing and maintaining this protection. We prepare the instruments needed to establish or confirm tenancy by the entirety ownership.

Business Entity Restructuring Documents

As a business grows or its risk profile changes, its organizational documents may need to be updated or restructured. We prepare the documents needed to reorganize ownership, add or remove members, convert entity types, or update operating agreements to reflect current business operations and protective goals.

Domestic Asset Protection Trust (DAPT) Documents

A select number of U.S. states — including Nevada, South Dakota, Delaware, and Alaska — have enacted Domestic Asset Protection Trust statutes that allow a person to be a beneficiary of their own irrevocable trust while still receiving protection from future creditors, subject to specific requirements. We prepare DAPT documents for states with recognized DAPT statutes based on the information you provide.

Who Needs Asset Protection Document Preparation?

Asset protection is not only for the ultra-wealthy. Anyone who has built something of value — a business, a home, a real estate portfolio, a professional practice — has something worth protecting.

Small Business Owners

If you operate as a sole proprietor or a general partner, your personal assets are exposed to business debts and liabilities. An LLC with a properly drafted operating agreement creates a legal boundary between your business and your personal wealth. Every day you operate without that structure is a day of unnecessary exposure.

Real Estate Investors

Real estate carries significant liability exposure — slip and falls, tenant disputes, property damage claims, environmental issues. Holding properties inside LLCs or land trusts separates each property's liability from your other assets and from each other. A loss on one property stays contained to that entity, not your entire portfolio.

Professionals and Contractors

Physicians, contractors, consultants, freelancers, and other professionals face malpractice or professional liability claims that can be substantial. While professional liability insurance is primary, structural protections add an additional layer — separating business income, business assets, and personal wealth into distinct legal containers.

Married Couples

Married couples in states recognizing tenancy by the entirety have access to a powerful, often underutilized protection: property titled jointly as tenants by the entirety is generally unreachable by creditors of one spouse alone. Proper titling of your home and other jointly held assets may be one of the most cost-effective steps available to you.

Retirees and Seniors

Retirement brings its own vulnerabilities — long-term care costs, potential for diminished capacity, the need to preserve assets for a surviving spouse or heirs. Irrevocable trusts and proper estate planning structures can help preserve wealth across generations, reduce probate exposure, and protect assets from unexpected late-life claims.

Anyone Building Wealth

You do not need to be wealthy to benefit from asset protection structures — you just need to be building wealth. The time to establish protective structures is before you have significant assets to lose. Early structuring costs far less and provides far more security than emergency restructuring done in response to a legal threat.
